Terms of Service — Conversaide

Welcome to Conversaide. By downloading, accessing, or using the Conversaide application or website (collectively, the "Service"), you agree to be bound by these Terms of Service ("Terms"). Please read them carefully before using the Service.

1. Acceptance of Terms

By creating an account or using Conversaide, you confirm that you are at least 16 years old, that you have read and understood these Terms, and that you agree to be bound by them. If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

2. Description of Service

Conversaide is an AI-powered language learning platform that enables users to practice conversational skills in multiple languages through real-time AI interactions, personalized feedback, and structured learning sessions.

3. User Accounts

3.1 Registration

You must create an account to access most features of the Service. You agree to provide accurate, current, and complete information during registration and to keep your account information up to date.

3.2 Account Security

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. Notify us immediately at support@conversaide.com if you suspect unauthorized use of your account.

3.3 Account Termination

You may delete your account at any time through the app settings. We reserve the right to suspend or terminate accounts that violate these Terms.

4. Acceptable Use

You agree not to:

Use the Service for any unlawful purpose or in violation of any applicable laws or regulations
Attempt to reverse-engineer, decompile, or disassemble any part of the Service
Use automated tools (bots, scrapers) to access the Service without our written consent
Transmit harmful, offensive, or inappropriate content through the Service
Impersonate any person or entity, or misrepresent your affiliation with any person or entity
Interfere with or disrupt the integrity or performance of the Service
Share your account credentials with others or allow third parties to access your account
Attempt to bypass, exploit, or “jailbreak” the AI safety filters, or use prompt injection techniques
Use the AI to generate illegal, hateful, harassing, or sexually explicit content
Access or use the Service if you are located in a country subject to an embargo by the EU or US Government, or if you are on any list of prohibited or restricted parties

5. Subscriptions and Payments

5.1 Free and Paid Plans

Conversaide offers both free and paid subscription tiers. Paid plans provide access to additional features as described in the app. Pricing and features are subject to change with reasonable notice.

5.2 Billing

Subscriptions are billed on a recurring basis (monthly or annually) through the Apple App Store or Google Play Store. By subscribing, you authorize the applicable payment processor to charge your payment method on a recurring basis.

5.3 Cancellation and Refunds

You may cancel your subscription at any time. Cancellation takes effect at the end of the current billing period. Refunds for in-app purchases are governed by the respective app store's refund policy.

6. Intellectual Property

All content, design, code, and materials within the Service — including but not limited to the Conversaide name, logo, AI models, and learning content — are owned by or licensed to Astraion and are protected by applicable intellectual property laws.

You retain ownership of any content you submit to the Service. By submitting content, you grant us a non-exclusive, worldwide, royalty-free license to use, store, and process that content solely for the purpose of providing the Service to you.

7. AI-Generated Content

The Service uses artificial intelligence to generate language learning content, corrections, and conversational responses. AI-generated content may occasionally contain errors. We do not guarantee the accuracy, completeness, or suitability of AI-generated content. Use your judgment and consult authoritative language resources for critical accuracy.

8. Privacy

Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference. Please review the Privacy Policy to understand our data practices.

9. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

10. Limitation of Liability

The following limitations apply to our liability for damages, regardless of the legal basis:

10.1 Unlimited Liability: We are liable without limitation for intent (Vorsatz) and gross negligence (grobe Fahrlässigkeit). We are also fully liable for damages resulting from injury to life, body, or health, as well as for claims based on the German Product Liability Act (Produkthaftungsgesetz) or any guarantees we have explicitly assumed.

10.2 Limited Liability for Slight Negligence: In cases of slight negligence, we are only liable if we breach a material contractual obligation (Kardinalpflicht). A material contractual obligation is one whose fulfillment is essential for the proper execution of the contract and on whose compliance you may regularly rely. In such cases, our liability is limited to the foreseeable, typical damage at the time the contract was concluded.

10.3 Exclusion of Further Liability: Any further liability for damages is excluded. In particular, we are not liable for data loss if the damage would have been avoided by reasonable data backup measures on your part, nor for the inherent inaccuracies of AI-generated content as described in Section 7.

11. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes through the app or by email. Your continued use of the Service after the effective date of the revised Terms constitutes your acceptance of the changes.

12. Governing Law and Dispute Resolution

12.1 Governing Law: These Terms and your use of the Service are governed by the laws of the Federal Republic of Germany, excluding the UN Convention on Contracts for the International Sale of Goods (CISG).

12.2 Mandatory Consumer Protection (EU): If you are a consumer residing within the European Union, this choice of law does not deprive you of the protection afforded to you by provisions that cannot be derogated from by agreement under the law of your country of residence.

12.3 Jurisdiction (Non-US Users): If you reside outside the United States, the exclusive place of jurisdiction for all disputes arising from these Terms is Berlin, Germany, provided you are a merchant, a legal entity under public law, or do not have a general place of jurisdiction in your country. If you are a consumer residing in the EU, you may bring claims in the courts of your place of residence or in Berlin.

12.4 Dispute Resolution and Binding Arbitration (US Residents Only): If you reside in the United States, any dispute or claim arising out of or relating to these Terms or the Service will be resolved by binding arbitration, rather than in court, administered by the American Arbitration Association (AAA). You and Astraion waive any constitutional and statutory rights to sue in court and have a trial in front of a judge or jury. Class Action Waiver: You and Astraion agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action.

12.5 Online Dispute Resolution (EU): The European Commission provides a platform for online dispute resolution, which you can access at https://ec.europa.eu/consumers/odr. We are neither obliged nor willing to participate in dispute resolution proceedings before a consumer arbitration board.
